Scope of Application
These Terms & Conditions apply to all contracts, services, and offers provided by SLA Ventures GmbH (hereinafter referred to as the “Provider”), in particular with regard to real estate brokerage, consulting, project management, marketing, and digital services.
Any deviating or supplementary terms and conditions of the client shall only become part of the contract if expressly agreed to in writing by the Provider.

Subject Matter of the Contract
The Provider offers services primarily in the fields of real estate brokerage, real estate consulting, project development, marketing, and digital services.
The specific scope of services is defined in the respective offer, contract, or service description. Any amendments or extensions to the scope of services require written confirmation by the Provider.

Conclusion of Contract
A contract is deemed concluded once the client accepts an offer from the Provider or signs a written agreement.
Verbal side agreements shall only be valid if confirmed in writing.

Compensation and Payment Terms
Compensation shall be based on the prices agreed upon in the respective offer or contract.
All prices are exclusive of statutory value-added tax (VAT) unless explicitly stated otherwise.
Invoices are payable within 14 days from the invoice date without deduction.
In the event of late payment, the Provider reserves the right to charge statutory default interest.

Liability
The Provider shall be liable only in cases of intent or gross negligence.
In cases of slight negligence, liability shall apply only in the event of a breach of essential contractual obligations (cardinal obligations). In such cases, liability shall be limited to foreseeable, contract-typical damages.
Any further liability, in particular for loss of profit, is excluded.

Liability for Content and External Links
The contents of this website are created with the greatest possible care. However, the Provider assumes no liability for the accuracy, completeness, or timeliness of the content.

Right of Withdrawal (for Consumers)
If the client is a consumer within the meaning of Section 13 of the German Civil Code (BGB), they have a statutory right of withdrawal for contracts concluded outside of business premises or via distance selling.
The withdrawal period is 14 days from the conclusion of the contract and may be exercised without stating reasons. A sample withdrawal form is available upon request.

Final Provisions
The laws of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
Place of performance and jurisdiction, where legally permissible, shall be Munich, Germany.
Should any provision of these Terms & Conditions be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original clause.

Effective Date
Effective as of: November 2025.
SLA Ventures GmbH reserves the right to amend these Terms & Conditions at any time. The version valid at the time of contract conclusion shall apply.
